Terms of Service — NexusMotive AI Inventory Connector

These Terms govern access to and use of the NexusMotive AI Inventory Connector (the “Connector”) by AI shopping surfaces such as ChatGPT, Perplexity, Claude, Gemini, and Bing Copilot (each, a “Caller”), and by end users (“Shoppers”) who interact with the Caller.

1. Scope and acceptance

Calling the Connector with a valid Bearer API key constitutes acceptance of these Terms by the Caller. Shoppers accept these Terms by submitting agentic actions (e.g., booking a test drive) through the Caller.

2. Permitted use

• The Caller may surface NexusMotive inventory in real-time shopping conversations, return our dealer + vehicle results to its end users, and call our agentic actions (test-drive booking, trade-in valuation) when explicitly requested by the Shopper.
• The Caller must preserve the “NexusMotive” brand attribution when rendering results and must include the dealer name with each vehicle.
• The Caller must NOT bulk-scrape the inventory dataset for downstream redistribution, training of foundation models, or competing aggregator products.
• Bulk export rate-limits are documented in the OpenAPI spec (default 600 req/min/key). Sustained over-the-cap traffic will result in rate-limit response codes and, on repeated violation, key revocation.

3. Pricing

The Connector is free to call for Callers under reasonable per-conversation rate limits (typical AI-shopping interaction patterns). Enterprise volume agreements are available — contact partnerships@nexusmotive.com.

4. Accuracy and availability

Inventory data is synced from each dealer's DMS in real time and is accurate to the best of our knowledge at the moment of each call. Final pricing, availability, and trade-in offers are confirmed at the dealership. Estimated taxes, doc fees, and total-drive-away figures are non-binding estimates.

5. Lead handling

Test-drive bookings submitted through the Caller are routed to the originating dealer's CRM. The dealer is responsible for following up. NexusMotive is not the seller of any vehicle and does not guarantee a vehicle's availability past the moment of the call.

6. Data privacy

7. Intellectual property

Vehicle photos and dealer-supplied content remain the property of the originating dealer or OEM. NexusMotive grants the Caller a non-exclusive, non-transferable license to render these assets inside the Caller's shopping experience.

8. Termination

We may revoke a Caller's API key at any time for breach of these Terms. The Caller may stop using the Connector at any time.

9. Disclaimers and limitation of liability

The Connector is provided “as is.” To the extent permitted by law, NexusMotive disclaims all implied warranties and limits its aggregate liability to fees paid by the Caller in the 12 months preceding the claim, if any.

10. Governing law

These Terms are governed by the laws of the State of California without regard to conflict-of-laws principles.
